Terms of Use

These Terms of Use (the “Terms“) constitute a legally binding agreement between you (“User,” “you,” or “your“) and Parijat Software Inc. governing your access to and use of our website, client portals, APIs, AI models, and any other Services.

1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms and any additional guidelines or policies referenced herein. If you do not agree, please do not use the Services.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you use the Services on behalf of an entity, you represent that you are authorised to bind that entity.

3. Licence & Permitted Use

We grant you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Services solely for lawful, internal business purposes and in accordance with these Terms. You agree not to:

• reverse engineer, decompile, or attempt to extract source code from any AI models or software;

• use the Services to develop or train competing machine‑learning models;

• transmit malicious code or interfere with the integrity or performance of the Services;

• infringe on intellectual‑property or privacy rights of others;

• use outputs to violate applicable laws, including those related to discrimination, harassment, or illegal content.

4. User Content & Data

“User Content” means prompts, data sets, files, instructions, or other materials you submit to the Services.

• Ownership. You retain all rights to User Content.

• Licence to Parijat. You grant Parijat a worldwide, royalty‑free licence to host, process, and use User Content solely to provide and improve the Services, subject to the Privacy Policy and any client agreement.

• Responsibility. You represent that you have all necessary rights to provide User Content and that it does not violate any third‑party rights or laws.

5. AI Outputs & Disclaimers

Outputs generated by our AI models are probabilistic and may occasionally produce inaccurate or objectionable content.

• No Professional Advice. Outputs are for informational purposes only and should not replace professional advice.

• Verification. You are solely responsible for verifying the accuracy, legality, and suitability of all outputs before using them.

6. Intellectual Property

All intellectual‑property rights in the Services—including software, models, graphics, trademarks, and documentation—are owned by Parijat or its licensors. Except for the limited licence granted herein, no rights are transferred to you.

7. Fees & Payment (If Applicable)

If you purchase paid Services, you agree to pay all fees and taxes in accordance with the invoice terms or online checkout. Late payments may incur interest at 1.5 % per month (18 % annually) or the maximum rate permitted by law.

8. Third‑Party Services

The Services may integrate with third‑party platforms. Parijat is not responsible for such third‑party services; your use is governed by their terms.

9. Confidentiality

Each party must protect the other’s Confidential Information with the same care it uses for its own sensitive data and not disclose it except to employees, contractors, or advisors bound by obligations of confidentiality.

10. Warranties Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PARIJAT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR MEET YOUR REQUIREMENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARIJAT’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) CAD $5,000 OR (B) THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

12. Indemnification

You agree to defend, indemnify, and hold harmless Parijat and its officers, directors, employees, and agents from any claims, damages, or expenses arising out of (a) your use of the Services, (b) User Content, or (c) your breach of these Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada, without regard to conflicts of law. Any dispute shall be resolved exclusively in the courts of London, Ontario, except where mandatory arbitration is specified in a separate client agreement.

14. Modifications to Terms

We may modify these Terms at any time by posting an updated version on our website and updating the “Last updated” date. Material changes will be communicated via email or banner. Continued use after changes constitutes acceptance.

15. Termination

We may suspend or terminate your access to the Services immediately if you breach these Terms. Upon termination, your licence will cease, but Sections 4, 5, 6, 10‑13, and 16 will survive.

16. Entire Agreement & Severability

These Terms (and any Master Services Agreement or Statement of Work, if applicable) constitute the entire agreement between you and Parijat regarding the Services. If any provision is held invalid, the remaining provisions will remain in full force.
